Rules reward controlling families for low share prices.^[From [[Key Themes in Asia - Fritzell Oct 2026]], slides 34-39] ## The evidence - 52% of Korean companies trade below 1x book. Japan 31%. Europe 23%. US 12% (Verdad, Aug 2026). - KOSPI price-to-book stayed near 1x since 2012. MSCI ACWI is near 3x. - The index hides the discount. Total USD return since 2016 (Verdad): - Cap-weighted KOSPI: +219%. - Ex Samsung Electronics and SK Hynix: +78%. - Equal-weighted, the average stock: +37%. - Payout ratios have not passed ~17% (Dalton). ## The causes ```mermaid flowchart LR INH["Inheritance tax up to ~50%
on market value"] --> CTRL["Controlling family
wants a low share price"] DIV["Dividend tax up to ~50%
as income"] --> LOW["Low payouts
~17% max"] RPT["Related-party deals
no shareholder vote"] --> TUN["Value moves to
family companies"] EM["MSCI emerging market
status"] --> FLOW["No developed-market
fund flows"] CTRL --> LOW CTRL --> TUN LOW --> PB{{"~1x book"}} TUN --> PB FLOW --> PB ``` - Minority shareholders carry the cost. - The fix: [[Korea Corporate Value-Up Program]]. It targets each cause. - Japan ran a similar reform first. Fritzell says the bigger gap is now in Korea.
